TogetherSoft THIS AGREEMENT APPLIES TO YOU ONLY IF YOU HAVE PURCHASED PREMIUM SUPPORT FROM TOGETHERSOFT CORPORATION: THIS PREMIUM SUPPORT AGREEMENT (this "Agreement") is entered into between TogetherSoft Corporation ("Supplier") and the company or person who has purchased Premium Support ("Customer"). Supplier licenses the software product line known as Together®. Customer warrants that he/she has purchased license(s) to use one or more product(s) ("Product") in the Together product line. Supplier and Customer agree as follows: 1. Supplier agrees to provide to Customer with access to no-added-cost updates and upgrades of the Product (via Supplier's web site, ftp site, or both) during the term of this Agreement. 2. Supplier agrees to provide priority technical support service to Customer via e-mail, fax, or telephone during Supplier's normal business hours, during the term of this Agreement. (Please note: Supplier does not accept collect calls.) 3. At each annual renewal, Customer shall pay twenty percent of the then current product price for each of its copies of the Product. 4. Customer agrees to pay when due (or, if necessary, reimburse Supplier for) any applicable sales, use, property, excise, VAT, and other similar taxes. 5. This agreement has an initial one-year term and extends automatically in successive one-year terms until cancelled in writing by Customer or by Supplier. Cancellation shall be effective upon delivery of the written notice. Customer acknowledges that any unused time during a one-year time will not result in a refund. 6. Supplier shall invoice Customer for renewal payments annually until cancelled. If the annual coverage is allowed to lapse, Customer acknowledges that the cost to renew will significantly increase. However, Supplier will honor a 30-day grace period in the event that coverage lapses. 7. This Premium Support Agreement is entered and is to be performed in the State of North Carolina, USA. This Agreement shall be governed by and construed under the laws of the State of North Carolina, USA. |
